Partner Agreement

This Partner Agreement ("Agreement") is a legally binding contract between you ("Publisher/Partner") and Funzop ("Advertiser"). By accepting this Agreement electronically, you confirm you have read, understood, and consent to its terms.

1. Parties to This Agreement

Advertiser: Funzop, operating the gaming platform at funzop.com and the Partner Program at partner.funzop.com.

Publisher/Partner: The individual or entity that has registered for and been approved to participate in the Funzop Partner Program.

This Agreement supplements and should be read together with the Terms & Conditions and Privacy Policy.

2. Grant of License

2.1 Subject to this Agreement, Funzop grants the Partner a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to:

Commercially promote and drive traffic to the Partner's assigned subdomain (e.g., yourname.funzop.com)
Use Funzop-approved promotional banners, captions, and creatives ("Promotional Materials") solely for the purpose of this Program

2.2 The Partner shall not sublicense, transfer, or assign this license to any third party without prior written consent from Funzop.

3. Partner Obligations

The Partner agrees to:

Promote the assigned subdomain exclusively through genuine, organic traffic channels disclosed during registration
Comply with all applicable laws, including but not limited to advertising regulations, consumer protection laws, and data privacy regulations
Not engage in any form of traffic manipulation, click fraud, or bot-generated traffic
Not modify, reverse-engineer, or create copies of any content on the Funzop platform
Not remove or obscure Funzop's branding, logos, or attribution from promotional materials
Complete KYC verification before receiving any payout
Notify Funzop immediately if aware of any fraudulent use of their subdomain
Maintain the confidentiality of their assigned revenue share rate

4. Revenue Sharing

4.1 Funzop agrees to share a portion of the net AdSense revenue generated by the Partner's assigned subdomain. The Partner's specific revenue share percentage ("Rate") is:

Individually determined by Funzop based on traffic quality, geography, and channel type
Communicated to the Partner upon approval and visible in the Partner Dashboard
Subject to revision with 30 days' written notice via email or dashboard announcement

4.2 "Net Revenue" means gross AdSense earnings after deduction of any Google fees, advertiser refunds, invalid click adjustments, or platform costs.

4.3 Funzop's revenue calculation is final and binding. Funzop will provide monthly earnings reports in the dash board for transparency.

5. Payout Schedule

5.1 Payment Cycle: Net-60 days from the end of each calendar month.

5.2 Minimum Threshold: $25 USD. Earnings below this threshold roll over to the next cycle.

5.3 Payment Methods:

India: Bank Transfer (NEFT/RTGS/IMPS) to verified bank account
International: PayPal to verified PayPal email address

5.4 Funzop shall not be liable for payment delays caused by incorrect bank details, PayPal account issues, or third-party processing delays.

5.5 Any applicable withholding taxes (e.g., TDS under Indian tax law) will be deducted at source as required by law.

6. Prohibited Activities

The Partner is strictly prohibited from:

Generating or facilitating click fraud, bot traffic, or any Invalid Traffic (IVT)
Incentivizing users to click on advertisements
Running paid advertisements (Google Ads, Facebook Ads, etc.) targeting Funzop brand keywords
Placing the subdomain link in unsolicited bulk email (spam)
Using pop-under, forced redirect, or auto-surf techniques without written approval
Creating mirror or clone sites of the Funzop platform
Making false or misleading representations about Funzop, its games, or earning potential to end users

Violation of any of the above may result in immediate account suspension, earnings forfeiture, and potential legal action.

7. Fraud Detection & Enforcement

7.1 Funzop employs automated fraud detection systems that continuously monitor traffic patterns, CTR, click behavior, IP anomalies, and revenue spikes.

7.2 Accounts flagged for suspicious activity may be:

Automatically suspended pending investigation
Subject to earnings reversal for the affected period
Permanently terminated upon confirmation of fraud

7.3 Auto-suspended accounts may be reinstated by Funzop admin upon review and the Partner's satisfactory explanation.

7.4 Funzop's fraud determination is final. Google's IVT policies and adjustments will be applied as received from Google AdSense.

8. Term & Termination

8.1 This Agreement is effective from the date of account approval and continues until terminated.

8.2 Either party may terminate this Agreement with 15 days' written notice.

8.3 Funzop may terminate immediately, without notice, in the event of material breach, fraud, or conduct harmful to Funzop's business.

8.4 Upon termination, the Partner's subdomain and promo tools will be deactivated. Earned and verified balances above the minimum threshold will be paid in the next eligible cycle.

9. Intellectual Property

9.1 All games, content, logos, trademarks, and software on the Funzop platform remain the exclusive property of Funzop or its licensors.

9.2 No rights to Funzop's intellectual property are transferred to the Partner under this Agreement except the limited promotional license described in Section 2.

10. Confidentiality

The Partner agrees to treat as strictly confidential: (a) their assigned revenue share rate, (b) any financial or operational data shared by Funzop, and (c) communications regarding account status, fraud findings, or business strategy. This obligation survives termination of this Agreement.

11. Representations & Warranties

The Partner represents and warrants that:

They have the full legal right and authority to enter into this Agreement
Their promotional channel(s) are owned by them and comply with all applicable laws
They will not engage in any activity that violates Google AdSense policies (as the ad revenue derives from AdSense)
All information provided during registration and KYC is accurate and complete

12. Limitation of Liability

Funzop's total liability under this Agreement shall not exceed the total earnings paid to the Partner in the three (3) months preceding any claim. Funzop shall not be liable for indirect, consequential, or special damages of any kind.

13. Indemnification

The Partner agrees to indemnify, defend, and hold harmless Funzop and its affiliates from any claims, losses, damages, or expenses (including legal fees) arising from: (a) the Partner's breach of this Agreement, (b) the Partner's promotional activities, or (c) any misrepresentation made to end users.

14. Governing Law & Dispute Resolution

This Agreement is governed by the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in India. The parties agree to attempt good-faith resolution before initiating formal proceedings.

15. Electronic Acceptance

By clicking "I Accept and Sign the Agreement" in the Partner Dashboard, the Partner acknowledges that their typed name constitutes a valid electronic signature, and they are legally bound by this Agreement.

16. Modifications

Funzop reserves the right to modify this Agreement at any time. Partners will be notified via email or dashboard announcement. Continued participation after the effective date of changes constitutes acceptance.
